Polarity Indiegogo Affiliate Program Terms

Help bring Polarity to Budapest while earning commission on eligible Indiegogo pledges generated through your unique referral link.

1. Program purpose

‍

The Program allows approved Affiliates to promote the Polarity Indiegogo campaign using a unique referral link and earn commission on eligible pledges attributed to that link.

‍

Participation does not guarantee any minimum earnings, referrals or continued acceptance in the Program.

‍

‍

2. Referral link and attribution

‍

Each Affiliate will receive a unique referral link through Indiegogo’s native referral-tracking system.

‍

A pledge will qualify for commission only when:

‍

  • - The backer accesses the Campaign through the Affiliate’s unique referral link;
  • - Indiegogo attributes the pledge to that referral link in its campaign records;
  • - The pledge is successfully charged and not refunded, reversed, disputed or charged back;
  • - The funds are released by Indiegogo and successfully received by the Campaign Owner; and
  • - The transaction complies with these Terms and all applicable Indiegogo policies.

‍

Indiegogo’s final referral and transaction records will be the primary source used to determine attribution. Polarity is not responsible for tracking failures caused by deleted cookies, privacy settings, ad blockers, cross-device activity, altered links, platform errors or a backer’s failure to use the correct referral link.

‍

Manual attribution may be considered at Polarity’s discretion when clear evidence is provided, but it is not guaranteed.

‍

‍

3. Commission rates

‍

Affiliate commission will be calculated as follows:

‍

  • - 7% of Net Eligible Referral Revenue corresponding to the first €5,000 in Qualified Gross Referral Pledges generated by the Affiliate; and
  • - 10% of Net Eligible Referral Revenue corresponding only to Qualified Gross Referral Pledges above €5,000.

‍

The 10% rate is incremental and is not applied retroactively to the first €5,000.

‍

If a pledge causes the Affiliate to cross the €5,000 threshold, that pledge may be divided proportionally between the two commission rates.

‍

‍

4. Qualified Gross Referral Pledges

‍

“Qualified Gross Referral Pledges” means the cumulative gross value of pledges:

‍

  • - Attributed to the Affiliate by Indiegogo;
  • - Successfully charged;
  • - Not cancelled, refunded, reversed, disputed or charged back; and
  • - Otherwise eligible under these Terms.

‍

The €5,000 threshold is based on Qualified Gross Referral Pledges before platform and payment-processing deductions.

‍

Pledges made in another currency will be converted to euros using the exchange rate reflected in Indiegogo’s settlement records or, if unavailable, the rate actually applied when the Campaign funds are received.

‍

‍

5. Net Eligible Referral Revenue

‍

“Net Eligible Referral Revenue” means the funds attributable to an eligible referred pledge that are actually received by the Campaign Owner after deduction of applicable:

‍

  • - Indiegogo platform fees;
  • - Payment-processing and transaction fees;
  • - Refunds, reversals, disputes and chargebacks;
  • - Taxes collected, withheld or remitted in connection with the pledge;
  • - Bank, transfer and currency-conversion charges incurred in receiving the Campaign funds;
  • - Amounts withheld, reserved or not released by Indiegogo; and
  • - Any other direct platform-level deduction associated with collecting that pledge.

‍

Reward-fulfilment costs, future operating costs and Polarity’s general business expenses will not be deducted when calculating Net Eligible Referral Revenue.

‍

Where Indiegogo does not allocate a campaign-level fee to an individual pledge, Polarity may allocate that fee proportionally and reasonably across eligible pledges.

‍

‍

6. Excluded transactions

‍

No commission will be payable on:

‍

  • - Refunded, reversed, disputed, cancelled or charged-back pledges;
  • - Failed or incomplete payments;
  • - Amounts not received by the Campaign Owner;
  • - Fraudulent, manipulated or duplicate transactions;
  • - Self-referrals made primarily to obtain commission;
  • - Pledges generated through unauthorized paid advertising, spam or misleading promotion;
  • - Contributions that Indiegogo does not attribute to the Affiliate;
  • - Taxes, tips or other amounts that are not treated as Campaign revenue;
  • - Pledges made in violation of Indiegogo’s terms or applicable law; or
  • - Transactions connected to an Affiliate’s material breach of these Terms.

‍

If a transaction is reversed after commission has been calculated or paid, Polarity may deduct the corresponding amount from future commission. If there are no future commissions, the parties will reasonably cooperate to correct the overpayment.

‍

‍

7. Payment timing

‍

Commission will be calculated after:

‍

  1. The Campaign has ended;
  2. Indiegogo has completed its initial settlement;
  3. The Campaign funds have successfully cleared into the Campaign Owner’s bank account;
  4. Referral data, fees, refunds and chargebacks have been reconciled; and
  5. The Affiliate has supplied all information reasonably required for payment and tax administration.

Delays caused by Indiegogo, banks, payment providers, compliance reviews, missing information or circumstances outside Polarity’s reasonable control will extend this timeline as necessary.

‍

The Affiliate will receive a summary showing the attributed eligible pledges, applicable commission rate and final commission amount.

‍

‍

8. Payment method and currency

‍

Payments will normally be made in euros through Wise or another payment method approved by Polarity.

‍

Polarity will cover the ordinary outgoing transfer fee associated with its standard payment method. The Affiliate is responsible for:

‍

  • - Recipient-bank fees;
  • - Intermediary-bank fees;
  • - Currency-conversion costs resulting from requesting payment in another currency;
  • - Fees caused by incorrect payment details; and
  • - Any additional cost associated with an alternative payment method requested by the Affiliate.

‍

The Affiliate must provide accurate legal name, address, payment details and any invoice or tax documentation reasonably required before payment can be issued.

‍

‍

9. Affiliate responsibilities

‍

The Affiliate agrees to:

‍

  • - Promote Polarity honestly and in good faith;
  • - Use accurate, current information supplied or approved by Polarity;
  • - Clearly disclose the commercial affiliate relationship;
  • - Comply with advertising, consumer-protection, privacy and electronic-marketing laws applicable to their location and audience;
  • - Comply with the rules of Instagram, Facebook, TikTok, YouTube, LinkedIn, email providers and any other platforms used;
  • - Comply with Indiegogo’s terms and policies;
  • - Avoid making guarantees about campaign success, opening dates, investment returns or future availability;
  • - Avoid unapproved medical, therapeutic or scientific claims;
  • - Avoid presenting personal opinions as verified claims by Polarity;
  • - Avoid implying that they are an employee, legal representative or spokesperson for Polarity; and
  • - Direct questions they cannot accurately answer to Polarity.

10. Required affiliate disclosure

‍

‍

Affiliate content must clearly disclose that the Affiliate may earn commission if someone contributes through their link.

‍

The disclosure must be easy to notice and understand and must appear close to the referral link or promotional claim. It must not be hidden among hashtags, placed only at the end of a long caption or require the viewer to click “more” to find it.

‍

Acceptable disclosures may include:

‍

  • - “Affiliate link — I may earn commission from pledges made through this link.”
  • - “Paid partnership with Polarity.”
  • - “I’m a Polarity campaign affiliate and may receive commission if you pledge through my link.”
  • - “#ad” or “#affiliate,” when displayed clearly and appropriately.

‍

11. Prohibited promotion

‍

‍

Unless Polarity gives prior written permission, the Affiliate may not:

‍

  • - Purchase advertisements using the Polarity name, campaign name, trademarks or branded search terms;
  • - Run paid social-media campaigns directing traffic to the referral link;
  • - Issue press releases or represent communications as official Polarity announcements;
  • - Send unsolicited bulk messages or spam;
  • - Use purchased, scraped or unlawfully obtained contact lists;
  • - Make false, exaggerated or misleading statements;
  • - Make claims that Polarity can diagnose, treat, cure or prevent a medical condition;
  • - Promise guaranteed health outcomes;
  • - Offer unauthorized discounts, cashback, rebates or additional rewards;
  • - Create websites, domains, accounts or usernames that could be mistaken for official Polarity channels;
  • - Manipulate referral tracking, cookies, clicks or transactions;
  • - Encourage pledges that the Affiliate expects will later be cancelled or refunded; or
  • - Engage in conduct reasonably likely to damage Polarity’s reputation.

12. Brand materials and intellectual property

‍

‍

Polarity may provide approved logos, images, videos, descriptions or other campaign materials.

‍

The Affiliate receives a limited, non-exclusive, revocable and non-transferable right to use those materials solely to promote the Campaign during participation in the Program.

‍

The Affiliate may not materially alter the Polarity logo, claim ownership of campaign materials, sublicense them or use them for another commercial purpose without written permission.

‍

All rights in the Polarity name, branding, campaign content and creative materials remain with their respective owner.

‍

‍

13. Content approval

‍

Ordinary organic content does not require advance approval when it uses accurate information and approved campaign materials.

‍

Prior written approval is required for:

‍

Eligible commission will normally be paid within 30 days after final reconciliation, provided the Campaign Owner has received the relevant funds and the Affiliate has submitted the required payment information.

‍

  • - Paid advertising;
  • - Press releases;
  • - Bulk email campaigns;
  • - Media appearances made on behalf of Polarity;
  • - Custom claims concerning health effects or scientific evidence;
  • - Statements concerning financial projections, investment opportunities or guaranteed campaign outcomes; and
  • - Material modifications to Polarity’s official branding or campaign assets.

‍

Polarity may ask the Affiliate to correct or remove inaccurate, unlawful, outdated or misleading content.

‍

‍

14. Independent relationship and taxes

‍

The Affiliate participates as an independent contractor and not as an employee, agent, partner, franchisee or legal representative of Polarity.

‍

The Affiliate has no authority to enter agreements, make commitments or incur obligations on behalf of Polarity.

‍

The Affiliate is solely responsible for declaring and paying any income tax, social contribution, VAT or other tax arising from commission received. Polarity may request an invoice or other legally required documentation before issuing payment.

‍

‍

15. Privacy and data protection

‍

The Affiliate is responsible for ensuring that their promotional activity complies with applicable privacy and electronic-communications laws.

‍

Affiliates may not collect, access, sell or attempt to obtain personal information about Polarity backers through the Program. Any mailing list used by the Affiliate must have been obtained lawfully and used with all required consent.

‍

Polarity will use Affiliate information only as reasonably necessary to administer the Program, verify referrals, communicate with the Affiliate, comply with legal obligations and issue payments.

‍

‍

16. Term and termination

‍

These Terms begin when the Affiliate is accepted into the Program and continue until all eligible commissions have been reconciled and paid, unless terminated earlier.

‍

Either party may end participation by written notice.

‍

Polarity may suspend or immediately terminate an Affiliate for fraud, misleading promotion, reputational harm, legal or policy violations, misuse of campaign materials or another material breach of these Terms.

‍

Termination without cause will not remove the Affiliate’s right to valid commission earned before termination. Transactions arising from fraud, prohibited conduct or a material breach may be disqualified.

‍

After termination, the Affiliate must stop presenting themselves as a Polarity affiliate and discontinue use of Polarity materials when requested.

‍

‍

17. Campaign changes and cancellation

‍

Crowdfunding involves uncertainty. Polarity does not guarantee that:

‍

  • - The Campaign will reach its funding target;
  • - Every planned feature or location will be completed;
  • - The Campaign schedule will remain unchanged;
  • - A particular opening date will be achieved; or
  • - Indiegogo will accept, process or release every pledge.

‍

Polarity may update the Campaign, rewards, timeline or promotional materials when reasonably necessary.

If no referred funds are successfully received, no commission will be owed.

‍

18. Limitation of liability

‍

To the fullest extent permitted by law, Polarity will not be liable for indirect, incidental or consequential losses connected to participation in the Program, including lost profits, lost opportunities, platform outages or referral-tracking failures outside Polarity’s reasonable control.

‍

Polarity’s total liability to the Affiliate under the Program will not exceed the unpaid commission validly owed to that Affiliate, except where applicable law does not permit that limitation.

‍

‍

19. Changes to these Terms

‍

Polarity may update these Terms when reasonably necessary to address platform changes, legal requirements or Program administration.

‍

Material changes will be communicated in writing. Changes will not reduce commission already validly earned before the effective date of the change unless required by law or necessary to correct fraud or a calculation error.

‍

Continued participation after receiving updated Terms constitutes acceptance of the revised Terms.

‍

‍

20. Governing law

‍

These Terms will be governed by the laws of Hungary, without regard to conflict-of-law principles.

‍

Any dispute that cannot be resolved informally will be submitted to the competent courts of Budapest, Hungary, unless mandatory consumer or employment law requires otherwise.

‍

‍

21. Entire agreement

‍

These Terms, together with any written Affiliate-specific arrangement approved by Polarity, constitute the entire agreement concerning participation in the Program.

‍

Any exception or amendment must be confirmed in writing by Polarity.
